Steve Braun advises hospitals, surgery centers and other health care providers in transactional, regulatory and operations matters. His transactional experience includes numerous acquisitions, dispositions and joint ventures of hospitals, ambulatory surgery centers and insurance companies. Steve also has extensive experience involving mergers and acquisitions in a variety of industries; public and private offerings of equity and debt securities; and stock options and other equity compensation plans. He has been responsible for the negotiation of definitive agreements and securities work on five transactions valued at more than $1 billion each, as well as numerous other hospital and health system acquisitions. He has represented issuers or underwriters in a variety of industries, including health care, banking, oil and gas, biotechnology, retail and manufacturing. Steve's work also has included the review of periodic reports of publicly traded companies. He was formerly the Senior Vice President and General Counsel of HCA, Inc. (1991-1997). Professional but Adequate Service

Attorney Steve Braun provided competent legal counsel during our hospital acquisition process. His extensive experience in health care law and mergers was evident in his ability to navigate complex regulatory hurdles. However, communication could have been more responsive, and initial consultations were delayed beyond promised timelines. While his strategic advice aligned well with our operational goals, the follow-through on documentation review was occasionally slow. Mr. Braun's recognition in health care law is well-deserved, but his client management could benefit from more proactive updates. Overall, a solid but not exceptional experience for a high-stakes transaction.
