Bio

Peter B. Ladig is a director at Bayard and co-chair of the litigation group. He concentrates his practice in the areas of corporate governance and commercial litigation, business divorce, stockholder litigation, fiduciary duties, partnership and limited liability company disputes, and class action and derivative litigation.Pete represents stockholders and directors in corporate litigation in the Delaware Court of Chancery in a wide range of matters, including advancement of legal fees and expenses, reviews of elections of directors, requests to inspect books and records, and claims for breaches of fiduciary duties. He also represents corporations and other entities in commercial disputes involving breach of contract claims and claims arising under the General Corporation Law of the State of Delaware. He has served on the Rules Committee of the Court of Chancery since 2011 and as one of the principal drafters of Rule 5.1, which prescribes procedures related to public access and confidentiality of documents filed with the Chancery Court. Pete also uses his litigation experience to advise special committees of boards of directors in analyzing conflict transactions or investigating alleged wrongdoing, and he has represented several of each type of committee.Pete also has extensive experience in the growing area of the “business divorce,” particularly requests for judicial dissolution of limited liability companies and corporations. In addition to representing parties to a business divorce, Pete has experience serving as counsel to a Chancery Court appointed custodian charged with selling an operating company to resolve a business divorce. He co-chairs the Business Divorce Subcommittee of the Business and Corporation Litigation Committee of the Business Law Section of the ABA; has spoken on panels about business divorce; and has made substantial contributions to Litigating the Business Divorce, a publication from BNA.Pete has been recognized by Chambers USA – America’s Leading Lawyers for Business in the years 2008-2009 and 2011-2018 as one of the leading Chancery Court practitioners in Delaware. Adequate representation in a complex business dispute

I engaged Peter Ladig and his team at Bayard to handle a contentious business divorce involving my minority stake in a Delaware LLC. Given his 29 years of experience and his firm's reputation in Wilmington, particularly in corporate governance and commercial litigation, I had high expectations for strategic insight. On the technical and substantive legal front, Peter was undeniably competent. His deep understanding of Delaware corporate law, honed over decades, was evident in his analysis of fiduciary duty claims and the drafting of key motions. The recognition he's received in commercial litigation is well-founded. However, the experience was somewhat mixed. While the final outcome was acceptable, communication during the process could be inconsistent. There were periods where I felt out of the loop, waiting for updates that took longer than expected. For a matter as personally and financially significant as a business divorce, I had hoped for a more proactive and responsive communication style. His expertise is solid, and he navigated the legal complexities effectively, but the client service aspect felt more transactional than collaborative. He is a capable attorney who gets the job done, but the overall experience was just satisfactory.
