Our company faced a complex and sensitive situation involving a potential change of control. As a board member, I needed counsel who was not only an expert in Delaware corporate law but who could also navigate the nuanced governance issues with discretion and clarity. Michael Pittenger was precisely that advisor. His deep, practical understanding of the DGCL and board fiduciary duties was immediately apparent. He didn't just cite statutes; he explained the real-world implications of various paths, helping us weigh legal risk against strategic necessity. Michael guided our special committee through the entire process, from evaluating the initial offer to negotiating protective provisions for minority shareholders. His advice was always measured, strategic, and impeccably well-reasoned. What truly set him apart was his ability to distill highly complex legal concepts into actionable guidance for our directors, who come from diverse professional backgrounds. The transaction concluded successfully, and the board emerged unified and confident in the process, largely due to Michael's steady hand. For any Delaware corporation or director seeking counsel on governance, fiduciary duties, or corporate transactions, I cannot recommend Michael A. Pittenger more highly.
