Ms. Bowman has had a significant amount of experience acting both as bond counsel and underwriter’s counsel in a number of bond transactions, both at the state and local levels.She has acted as bond counsel for regional wastewater treatment and other systems, and represented the owners of a $230 million racetrack in Kansas City, Missouri in connection with bond financing for the facility.Ms. Bowman represents clients in securities law matters. She has also counseled clients on compliance with federal and state securities laws with respect to a variety of matters, including initial public offerings, secondary offerings, private investment companies, acquisitions and mergers. She counsels officers and directors of public companies regarding compliance with their reporting and other requirements under the federal securities laws, including corporate governance requirements under the Sarbanes-Oxley Act of 2002.Ms. Bowman was lead securities counsel for a Michigan corporation in connection with a going private transaction, and also handled the securities and corporate law aspects of the conversion of a public corporation into a private limited liability company. I engaged Barbara Bowman of Bodman PLC for guidance on a complex municipal bond refinancing project for a local community development initiative in Troy. Her 43 years of experience, particularly her background as both bond counsel and underwriter’s counsel, was immediately apparent. She clearly understood the nuances of the transaction, and her recognition as a 'Lawyer of the Year' in related fields gave our board confidence in her technical expertise. The work product was solid and legally sound. However, the experience was not without its frustrations. Communication was sometimes slower than expected, with responses taking several business days during critical phases, which added to our project timeline anxiety. While her advice was always precise, it occasionally felt delivered in a very formal, matter-of-fact manner without much proactive explanation of options. For a straightforward matter, her competence is undeniable, and her Wayne State University and University of Michigan credentials speak for themselves. Yet, for clients who prioritize frequent updates and a more collaborative, explanatory approach, there may be a disconnect.
